The rules behind a protected plan.

1. Agreement and eligibility

These Terms of Service (“Terms”) govern your use of Dateposit, a software platform owned and operated by Barron Sovereign Capital LLC (“Company,” “Dateposit,” “we,” “us,” or “our”). By using Dateposit, creating or accepting a protected plan, or authorizing a payment, you agree to these Terms and the plan-specific terms shown before confirmation.

You must be at least 18 years old and legally able to enter a binding agreement. You may not use Dateposit for unlawful activity, coercion, harassment, fraud, payment abuse, or any activity prohibited by these Terms.

2. Protected plans and mutual acceptance

A protected plan includes the venue, date, time, commitment level, commitment hold, service fee, cancellation cutoff, check-in deadline, and other rules shown before confirmation. Each person is responsible for reviewing those details before accepting.

A material change to the venue, date, time, or commitment amount after acceptance should require both people to review and accept the updated plan again. Dateposit may cancel or reset a plan when the required re-acceptance does not occur.

3. Commitment holds, service fees, and authorization limits

• Commitment hold: a temporary authorization on an eligible payment method. While active, the authorized amount may reduce available spending capacity.
• Service fee: a separate platform fee disclosed before confirmation. Once charged and the plan is locked, the service fee is generally non-refundable except where required by law, a plan-specific rule, or an express Dateposit refund decision.
• Hold release: Dateposit instructs the payment processor to cancel or release the authorization. The bank/card issuer controls how quickly the amount becomes available again and how the transaction appears.

Card authorization windows are controlled by payment networks and processors. Dateposit may need to delay authorization, re-authorize, capture and later refund, use an eligible extended authorization, or use another compliant payment flow depending on how far in advance the plan is scheduled. The live checkout flow controls the payment method actually used.

4. Standard cancellation and no-show rules

Unless a different rule is clearly shown and accepted for a specific plan, the current standard model is:

• Plan completed: both people complete required check-in by the displayed deadline. Dateposit requests release of each commitment hold.
• Early cancellation: cancellation more than four (4) hours before the scheduled time. Dateposit requests release of the commitment hold. The separate service fee is handled under Section 3.
• Late cancellation: cancellation four (4) hours or less before the scheduled time. The standard consequence is forfeiture/capture of 100% of the canceling person's commitment amount, retention of the applicable service fee if charged, and a 10-point Reliability Score deduction.
• No-show: failure to complete the required check-in by the deadline shown for the plan. The standard consequence is forfeiture/capture of 100% of the absent person's commitment amount, retention of the applicable service fee if charged, and a 10-point Reliability Score deduction.

Payment failure, fraud, chargebacks, unauthorized use, platform error, technical evidence, safety reports, legal requirements, or a successful dispute may pause, reverse, or change an otherwise standard outcome.

5. Check-in, GPS, manual codes, and technical failures

Dateposit may use temporary browser-based GPS check-in and an approved manual code backup. The app should display the check-in deadline for each plan. Users may not spoof location, automate check-in, share codes dishonestly, or otherwise manipulate verification.

If GPS is unreliable and both people are present, use the approved manual code backup when available. A documented Dateposit outage or technical failure may be reviewed and should not, by itself, be treated as conclusive proof of a no-show.

6. Safety and emergencies

Dateposit does not conduct criminal background checks or guarantee the identity, honesty, attendance, conduct, or safety of any user unless a specific verification feature is separately offered and expressly described. Real-world meetings can involve risk.

Your safety comes first. Leave or do not attend if you reasonably believe a situation is unsafe. Contact emergency services when appropriate. Dateposit support is not an emergency service. A safety or emergency report may be reviewed under the applicable dispute process but does not create an automatic promise of a particular financial outcome.

7. Vault Credits

Dateposit may issue eligible closed-loop platform credits (“Vault Credits”) as a remedy after qualifying late cancellations or no-shows or for other permitted platform purposes. Vault Credits may remain pending during a clearing period and review for settlement, fraud, chargebacks, reversals, and disputes.

• Eligible Vault Credits may be applied toward eligible future Dateposit commitment holds.
• When offered, eligible Vault Credits may be exchanged for approved third-party digital rewards made available through the Dateposit Reward Center.
• Vault Credits are not fiat currency, bank deposits, securities, or cash; cannot be withdrawn to a bank account; cannot be transferred person-to-person; and have no cash value outside Dateposit.
• Credits used toward a future commitment hold are subject to the rules of that future plan.
• Credits may be reversed for fraud, payment reversal, chargeback, duplicate issuance, error, or abuse.

8. Reliability Score and account integrity

Dateposit may maintain a Reliability Score or similar account-history feature. Under the standard model, a late cancellation or no-show can reduce the responsible person's score by 10 points. Fraud, abuse, manipulation, or repeated rule violations may also affect access. Any suspension threshold, reactivation requirement, or permanent restriction must be disclosed in the rules that apply at the time.

If you believe a Reliability Score event is incorrect, contact support and use the available review process.

9. Payment disputes and chargebacks

If you believe a Dateposit transaction is incorrect or unauthorized, contact support promptly. Dateposit may use and provide relevant transaction records, accepted Terms, timestamps, device information, check-in records, payment status, and related evidence when investigating or responding to a processor, card-network, bank, or legal dispute. Fraudulent or abusive disputes may result in account restrictions.

Nothing in these Terms eliminates a consumer right that cannot legally be waived.

10. User conduct and prohibited activity

You may not use Dateposit to threaten, coerce, stalk, harass, discriminate unlawfully, facilitate illegal activity, manipulate payment or verification systems, test stolen payment cards, create deceptive plans, impersonate another person, exploit private invite links, or interfere with the service. Dateposit may investigate, restrict, suspend, or terminate accounts reasonably believed to present fraud, safety, legal, or platform-integrity risk.

11. Third-party services

Dateposit relies on third parties for payment processing, SMS delivery, hosting, security, email, and reward fulfillment. Their services and timing are outside our full control. We are not responsible for bank timing, network outages, carrier delays, unavailable reward brands, or other failures outside our reasonable control, except where applicable law provides otherwise.

12. Privacy and location data

Your use of Dateposit is also governed by the Privacy Policy. Precise check-in location is used for the purposes disclosed at collection, such as arrival verification, fraud prevention, and dispute handling, and should not be sold or used for unrelated targeted advertising. Users should review the Privacy Policy for data rights and retention information.

13. Intellectual property and limited license

Dateposit, its software, designs, trademarks, branding, and platform content are owned by or licensed to Barron Sovereign Capital LLC. Subject to these Terms, Dateposit grants you a limited, revocable, non-exclusive, non-transferable right to use the service for its intended personal or business purpose. You may not copy, reverse engineer, sell, sublicense, scrape, or misuse the service except where law expressly permits.

14. User content

You are responsible for plan titles, descriptions, messages, and other content you submit. Do not enter sensitive personal information or unlawful content. You grant Dateposit the limited rights reasonably necessary to host, process, display, secure, and transmit that content to operate the service.

15. Suspension and termination

We may suspend or terminate access when reasonably necessary to address fraud, abuse, safety risk, payment risk, legal obligations, repeated rule violations, or threats to platform integrity. Termination does not erase obligations, disputes, or records that law or legitimate business needs require us to retain.

16. Disclaimers

To the maximum extent permitted by law, Dateposit is provided “as is” and “as available.” We do not promise uninterrupted operation, that a person will attend, that a person is safe or truthful, that GPS will always work, that a bank will release funds by a particular time, or that any particular reward will remain available.

17. Limitation of liability

To the maximum extent permitted by law, Barron Sovereign Capital LLC and its officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost opportunities, emotional distress, or losses arising from another user's conduct. To the maximum extent permitted by law, the aggregate direct liability of the Company for claims arising from the service will not exceed the greater of (a) the service fees you paid to Dateposit during the twelve months before the event giving rise to the claim or (b) $100. Some jurisdictions do not allow certain exclusions or limits, so those limits apply only to the extent lawful.

18. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Barron Sovereign Capital LLC and its officers, employees, contractors, and affiliates from third-party claims, liabilities, damages, and reasonable costs arising from your unlawful conduct, misuse of Dateposit, violation of another person's rights, or material violation of these Terms, except to the extent caused by the Company's own unlawful conduct.

19. Governing law and dispute process

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles, except where another law must apply. Before filing a formal claim, the parties should attempt in good faith to resolve the dispute through written notice to Legal@Dateposit.com, unless immediate relief or applicable law makes that impractical. Any arbitration agreement, class-action waiver, jury-trial waiver, forum-selection clause, or mandatory pre-suit procedure should be stated expressly in the version of the Terms presented for acceptance.

20. Changes, severability, assignment, and entire agreement

We may update these Terms as the product or law changes. Material changes will receive any notice required by law. If a provision is unenforceable, the remaining provisions continue to the extent permitted. You may not assign your rights under these Terms without our consent; we may assign these Terms in connection with a merger, acquisition, financing, reorganization, or sale of assets, subject to applicable law. These Terms, the Privacy Policy, applicable SMS Terms, and the plan-specific rules presented for acceptance form the agreement governing the service.
